What it means: For a Director with 7 years of tenure at a Series C company, market is 2 weeks per year of service. That's 14 weeks, not 4.

Broad release waives whistleblower rights

"Employee hereby releases all claims, known or unknown, against the Company..."

What it means: This release is broader than allowed in most states. SEC whistleblower protections, Sarbanes-Oxley claims, and unemployment eligibility cannot be waived.

Counter: Add a carve-out: "Nothing in this release waives Employee's right to file a charge with the SEC, EEOC, or NLRB, or to receive a whistleblower award."

Yellow flag · Asymmetric

Non-disparagement is one-way

"Employee agrees not to make any disparaging statements about the Company..."

What it means: You're agreeing not to disparage them. They have no equivalent obligation. Standard practice in clean exits is mutual.

Counter: Request mirror language: "Company executives and HR shall not make disparaging statements about Employee to references, third parties, or in writing."
